Terms of Service

These Terms of Service (“Terms”) govern access to and use of the website located at getryzn.com (the “Site”) and the purchase of products from RYZN, Inc., operating as RYZN (“RYZN,” “we,” “us,” or “our”). By accessing the Site, applying for a partner account, or placing an order, you (“you,” “Partner,” or “Buyer”) agree to be bound by these Terms. If you do not agree, do not access the Site or place an order.

1. Research Use Only

All products supplied by RYZN are research-grade materials intended strictly for laboratory and research use only. They are not drugs, foods, cosmetics, dietary supplements, or medical devices, and are not intended or approved for human or veterinary use, consumption, diagnosis, treatment, or any in vivo application.

By purchasing, you represent and warrant that you are acquiring our products solely for lawful research, analytical, or manufacturing purposes, and that you will not use, resell, label, or distribute them for human or animal consumption or any unapproved use.

2. Eligibility and Approved Partners

RYZN sells on a wholesale, business-to-business basis to approved partners only. To purchase, you must be at least 21 years of age, have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and be approved by RYZN as a partner. We may approve, decline, suspend, or terminate any application or account at our sole discretion. Access to products is restricted to approved accounts and is not an offer to the general public.

3. Accounts and Application

Partner accounts are granted through our application process. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We reserve the right to verify the information you provide and to refuse or revoke access at any time.

4. Ordering and Order Acceptance

Orders are placed directly with our team; we do not process orders online. Any quote, catalog, or pricing shown is an invitation to order and not a binding offer. An order is not accepted until we confirm it and issue an invoice. We may decline, limit, or cancel any order at our discretion, including for suspected misuse, compliance concerns, pricing errors, or inventory limitations. Minimum order quantities and other ordering rules may apply.

5. Pricing and Payment

Prices are quoted on your invoice and are exclusive of any applicable taxes, duties, or fees unless stated otherwise. We accept payment by ACH transfer or wire transfer to our account; we do not accept credit cards. Payment instructions are provided with your invoice, and orders are scheduled for fulfillment only after payment has cleared. You are responsible for any bank, transfer, or return fees. We reserve the right to change pricing at any time prior to order acceptance.

6. Shipping and Delivery

Shipping terms, methods, and fulfillment schedules are described on our Shipping & Deliveries page and are incorporated by reference. Title and risk of loss pass to you upon our delivery of the products to the carrier. Estimated ship and delivery dates are not guaranteed, and we are not liable for carrier delays or events outside our reasonable control.

7. Returns, Cancellations, and Replacements

Due to the nature of our research materials, returns are not accepted. Cancellation and replacement terms are described on our Refunds & Returns page and are incorporated by reference. Claims for shipments that arrive incorrect, incomplete, or damaged must be submitted as described on that page.

8. Buyer Compliance and Responsibilities

You are solely responsible for ensuring that your purchase, possession, handling, storage, use, resale, and disposal of our products comply with all applicable laws, regulations, and institutional or safety requirements in your jurisdiction. You agree to handle all materials using appropriate laboratory practices and qualified personnel. You will not divert, mislabel, or distribute products in any manner inconsistent with these Terms or with the research-use-only restriction in Section 1.

9. Prohibited Uses

You may not use the Site or our products to:

  • Use, repackage, label, market, or sell any product for human or animal consumption or any unapproved use;
  • Violate any applicable law, regulation, or third-party right;
  • Misrepresent your identity, business, or intended use of products;
  • Interfere with, probe, or disrupt the Site or its security; or
  • Access the Site or products through unauthorized or automated means.

10. Disclaimer of Warranties

Except as expressly stated in a written specification we provide for a given product, all products and the Site are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that any product will achieve any particular result in your application.

11. Limitation of Liability

To the maximum extent permitted by law, RYZN and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Site or products, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the amount you paid for the specific product giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless RYZN and its owners, officers, employees, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use, handling, resale, or distribution of products, your breach of these Terms, or your violation of any law or third-party right.

13. Intellectual Property

The Site and its content, including the RYZN name, logo, text, graphics, and design, are owned by or licensed to RYZN and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Site without our prior written consent.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect and handle information and is incorporated by reference.

15. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted to the Site with an updated effective date. Your continued use of the Site or placement of orders after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site or products will be subject to the exclusive jurisdiction of the state and federal courts located in [COUNTY], Texas.
