IMPORTANT NOTICE

RYZN products designated as Research Use Only, Laboratory Use Only, or Not for Human Consumption are offered exclusively for legitimate laboratory, analytical, educational, product-development, or other lawful research purposes.

These products are not offered as drugs, dietary supplements, foods, cosmetics, medical devices, treatments, therapies, or products intended to diagnose, cure, mitigate, treat, or prevent any disease or medical condition.

Products designated for research use are:

  • Not for human consumption.
  • Not for human injection.
  • Not for human administration by any route.
  • Not for veterinary treatment unless expressly approved and labeled for that purpose.
  • Not intended for household or personal use.
  • Not intended for clinical, therapeutic, diagnostic, or recreational use.
  • Not represented as safe or effective for any human or animal application.

By applying for a wholesale account, purchasing products from RYZN, or accepting delivery of an order, the purchaser agrees to the following terms.

1. Wholesale Account Status

Wholesale status is not created solely because an individual submits payment or places an order.

A purchaser becomes an authorized RYZN wholesaler only after:

  1. The purchaser submits complete and accurate account information.
  2. RYZN reviews and approves the purchaser under its wholesale standards.
  3. The purchaser accepts this Agreement electronically or in writing.
  4. RYZN confirms activation of the wholesale account.
  5. Any licenses, permits, resale certificates, tax documentation, or business credentials requested by RYZN have been provided and verified.

RYZN may approve, deny, suspend, restrict, or terminate wholesale status at its discretion, subject to applicable law.

Wholesale approval does not constitute:

  • Approval to use any product in humans or animals.
  • Authorization to make medical or therapeutic claims.
  • Authorization to repackage, relabel, adulterate, compound, manufacture, or modify products.
  • Confirmation that the purchaser holds all licenses required for its activities.
  • A franchise, agency, partnership, employment, fiduciary, or joint-venture relationship.

2. Purchaser Representations

The purchaser represents and warrants that:

  1. The purchaser is at least 18 years old and legally capable of entering into this Agreement.
  2. The purchaser is acquiring products for a legitimate business or institutional purpose.
  3. The purchaser is not purchasing products primarily for personal, family, household, recreational, bodybuilding, performance-enhancement, weight-loss, therapeutic, or self-treatment purposes.
  4. The purchaser possesses sufficient knowledge, facilities, personnel, procedures, and safety controls to receive, store, handle, evaluate, and distribute the products lawfully.
  5. The purchaser will obtain and maintain all federal, state, local, professional, tax, resale, laboratory, environmental, shipping, and business licenses or permits applicable to its activities.
  6. All account, licensing, resale, shipping, billing, and tax information supplied to RYZN is accurate and current.
  7. The purchaser will immediately notify RYZN if any representation in this Agreement becomes inaccurate.
  8. The purchaser is not acting on behalf of an undisclosed third party.
  9. The purchaser is not purchasing products for a prohibited destination, prohibited person, or unlawful purpose.
  10. The purchaser will independently determine whether each purchase, possession, shipment, resale, export, import, transfer, research activity, or disposal method is lawful.

3. Research-Use-Only Restrictions

For every product labeled or described as Research Use Only, Laboratory Use Only, or Not for Human Consumption, the purchaser agrees that it will not, directly or indirectly:

  1. Consume, inject, inhale, ingest, implant, apply, administer, prescribe, dispense, or otherwise introduce the product into a human body.
  2. Direct, encourage, assist, train, instruct, or advise another person to use the product in or on a human.
  3. Use the product for clinical diagnosis, patient care, treatment, prevention, therapy, rehabilitation, performance enhancement, body-composition alteration, anti-aging, sexual enhancement, cosmetic treatment, or wellness treatment.
  4. Sell or transfer the product to a consumer for personal or household use.
  5. Sell or transfer the product to any person the purchaser knows, suspects, or reasonably should know intends human use.
  6. Market the product using dosage instructions, injection instructions, cycling protocols, treatment protocols, patient testimonials, before-and-after claims, medical claims, disease claims, safety claims, efficacy claims, or claims of human benefit.
  7. Represent that the product is approved by the United States Food and Drug Administration unless RYZN provides specific written documentation establishing that approval.
  8. Represent that a Certificate of Analysis proves clinical safety, sterility, therapeutic efficacy, regulatory approval, or fitness for human use.
  9. Remove, obscure, alter, replace, or contradict any RYZN warning, lot number, product identity, storage direction, or Research Use Only statement.
  10. Repackage, relabel, combine, dilute, reconstitute, compound, manufacture, or modify a product for resale without RYZN’s prior written approval and all legally required registrations, licenses, controls, and authorizations.
  11. Resell any product through a marketplace, website, social-media page, clinic, gym, coaching program, membership community, telehealth platform, retail store, or other channel in a manner inconsistent with this Agreement.
  12. Export or ship a product internationally without confirming all legal, customs, carrier, import, export, and destination-country requirements.
  13. Use RYZN products in research involving human subjects unless all applicable legal and regulatory requirements have been independently satisfied and RYZN has provided prior written authorization.

4. Required Customer Screening

Before transferring a Research Use Only product, the wholesaler must conduct reasonable due diligence concerning the recipient and intended use.

At a minimum, the wholesaler must:

  • Identify the recipient.
  • Confirm the recipient’s lawful business or research purpose.
  • Maintain accurate transaction and shipping records.
  • Provide all required product warnings.
  • Refuse transactions involving suspected human use.
  • Refuse transactions involving false, incomplete, or misleading information.
  • Refuse requests for dosing, injection, treatment, or clinical-use instructions.
  • Report suspected misuse, diversion, adverse events, counterfeiting, or unauthorized relabeling to RYZN.

The wholesaler must not rely solely on a customer checking a box or verbally stating “research use” when surrounding facts indicate intended human use.

5. Product Information and Certificates of Analysis

Any product description, technical information, analytical result, specification, literature reference, research summary, or Certificate of Analysis supplied by RYZN is provided for identification, quality-control, and research-evaluation purposes only.

A Certificate of Analysis:

  • Applies only to the identified sample, batch, or lot.
  • Does not guarantee that every unit is identical.
  • Does not establish safety for human or animal use.
  • Does not constitute FDA approval.
  • Does not establish sterility unless sterility testing is expressly identified.
  • Does not constitute medical advice.
  • Does not establish suitability for a purchaser’s specific procedure or application.

The purchaser is responsible for conducting any identity, purity, sterility, endotoxin, stability, potency, contamination, compatibility, or other testing necessary for its intended lawful research application.

6. No Medical or Professional Advice

RYZN does not provide medical advice, diagnosis, treatment, prescribing, pharmacy services, compounding services, veterinary advice, legal advice, or regulatory advice through its website, invoices, product literature, research summaries, customer service communications, educational materials, social-media content, or wholesale program.

No statement made by RYZN or its representatives may be interpreted as:

  • A prescription.
  • A dosage recommendation.
  • An injection protocol.
  • A representation of human safety.
  • A recommendation to treat a medical condition.
  • A substitute for advice from a licensed physician, pharmacist, attorney, veterinarian, laboratory director, or regulatory professional.

A purchaser must immediately discontinue any conversation in which a customer requests human-use instructions and must not answer that request.

7. Independent Business Responsibility

Each wholesaler operates as an independent business.

The wholesaler is solely responsible for its own:

  • Advertising.
  • Website content.
  • Sales statements.
  • Customer communications.
  • Taxes.
  • Licensing.
  • Recordkeeping.
  • Employee conduct.
  • Storage practices.
  • Shipping practices.
  • Product handling.
  • Research protocols.
  • Safety procedures.
  • Waste disposal.
  • Regulatory compliance.
  • Customer qualification.
  • Downstream sales.
  • Claims and representations.

The wholesaler has no authority to make commitments, warranties, representations, or admissions on behalf of RYZN.

The wholesaler may not identify itself as an employee, agent, legal representative, medical representative, pharmacy representative, or regulatory representative of RYZN.

8. Prohibited Marketing

The wholesaler must not use RYZN’s name, trademarks, photographs, product labels, Certificates of Analysis, educational materials, or research summaries in a misleading or unlawful manner.

Prohibited marketing includes:

  • Human dosage charts.
  • Injection demonstrations.
  • Reconstitution instructions intended for human administration.
  • Treatment protocols.
  • “Before and after” claims.
  • Claims concerning fat loss, muscle growth, healing, sexual function, disease treatment, anti-aging, hormone optimization, injury recovery, or human performance.
  • Testimonials indicating human use.
  • Claims that a product is “safe,” “clinically proven,” “pharmaceutical grade,” “medical grade,” or “approved” unless specifically substantiated and authorized in writing.
  • Statements suggesting that the Research Use Only label is merely a technicality.
  • Statements encouraging customers to disregard product warnings.
  • Promotion to minors.
  • Promotion designed to evade FDA, state, pharmacy, medical, or consumer-protection requirements.

All public uses of RYZN branding are subject to RYZN’s written brand standards and may require prior approval.

9. Storage, Security and Handling

The purchaser is responsible for:

  1. Inspecting shipments promptly.
  2. Following all storage instructions.
  3. Maintaining temperature controls when required.
  4. Preventing unauthorized access, theft, tampering, substitution, diversion, or misuse.
  5. Maintaining lot and transaction traceability.
  6. Using suitable personal protective equipment and laboratory procedures.
  7. Maintaining procedures for spills, contamination, accidental exposure, returns, recalls, and disposal.
  8. Complying with applicable hazardous-material, biological-material, carrier, environmental, and workplace-safety requirements.

The purchaser must not sell any product that is damaged, contaminated, expired, improperly stored, altered, opened, or suspected of tampering.

10. Inspection, Records and Compliance Review

The wholesaler must retain purchasing, resale, lot, customer, shipping, complaint, return, and disposition records for at least 3 years or longer when required by law.

To the extent legally permitted, RYZN may request documentation reasonably necessary to verify compliance, including:

  • Business licenses.
  • Resale certificates.
  • Customer-screening records.
  • Product listings.
  • Website pages.
  • Marketing materials.
  • Transaction records.
  • Shipping records.
  • Complaint records.
  • Inventory records.
  • Downstream distributor information.

Failure to provide reasonably requested compliance documentation may result in account suspension or termination.

11. Adverse Events, Complaints and Regulatory Contacts

The wholesaler must notify RYZN promptly of:

  • Suspected human or animal use.
  • Accidental exposure.
  • Serious product complaints.
  • Contamination or tampering.
  • Counterfeit products.
  • Unauthorized relabeling.
  • Government inquiries.
  • Subpoenas relating to RYZN products.
  • Regulatory inspections involving RYZN products.
  • Adverse-event reports.
  • Product recalls or market withdrawals.
  • Theft, loss, or diversion.

The wholesaler must preserve relevant records and cooperate with lawful product investigations, corrective actions, recalls, or regulatory requests.

12. Order Acceptance

All orders are subject to RYZN’s review and acceptance.

RYZN may refuse, cancel, limit, delay, or place conditions on an order when it reasonably believes that:

  • Information is inaccurate.
  • The purchaser is not qualified.
  • Products may be diverted.
  • Human or animal use is intended.
  • Marketing is noncompliant.
  • A transaction presents legal, safety, fraud, sanctions, payment, shipping, or reputational risk.
  • Inventory is unavailable.
  • Additional verification is required.

Payment does not require RYZN to accept or fulfill an order. When an order is rejected after payment, any refund will be handled under RYZN’s applicable payment and refund policy.

13. Returns, Damage and Product Claims

The purchaser must inspect each shipment immediately upon receipt.

Any claim for shortage, visible damage, incorrect product, or shipment discrepancy must be submitted in writing within 5 business days after delivery.

Claims involving product identity, quality, condition, or testing must include:

  • Order number.
  • Product name.
  • Lot number.
  • Photographs.
  • Storage history.
  • Chain-of-custody information.
  • Description of the issue.
  • Supporting test documentation when applicable.

Products may not be returned without written authorization from RYZN.

Because storage and chain of custody cannot always be verified after delivery, RYZN may prohibit returns of temperature-sensitive, opened, altered, or Research Use Only materials except where required by law.

14. Limited Product Warranty

RYZN warrants only that, at the time of shipment, the product will materially correspond to the product identity and written specifications expressly provided by RYZN for the applicable lot, subject to stated tolerances and testing limitations.

Except for any warranty that cannot lawfully be excluded, RYZN makes no warranty that a product:

  • Is suitable for a particular research method.
  • Will produce a particular result.
  • Is suitable for human or animal use.
  • Is merchantable for an undisclosed purpose.
  • Is compatible with other materials.
  • Will remain stable after opening, handling, reconstitution, dilution, repackaging, transfer, or improper storage.
  • Complies with laws applicable to the purchaser’s particular activity or jurisdiction.

The purchaser is responsible for determining fitness for its lawful intended research purpose.
